Terms and Conditions

As of 28 August 2026. These terms apply to the purchase and use of Orbit licenses (including paid subscriptions and any trial periods that may be offered) via the desktop app and orbit-graph.com.

1. Scope

These Terms and Conditions apply to all contracts between Hannes Sauerbaum, Knoevenagelweg 11, 30165 Hannover, Germany (hereinafter “we” or “provider”) and you as the customer concerning the provision of the desktop software “Orbit” (hereinafter “software”).

The software may be used by private individuals and by businesses. To determine the statutory rights that apply in each case, these Terms distinguish between consumers and entrepreneurs:

A consumer within the meaning of these Terms is any natural person who enters into the contract for purposes that are predominantly neither commercial nor self-employed professional activity (Section 13 of the German Civil Code (BGB)). An entrepreneur is a natural or legal person or a partnership with legal capacity who, when entering into the contract, acts in the exercise of their commercial or self-employed professional activity (Section 14 BGB).

We do not accept conflicting terms of the customer unless we expressly agree to their applicability in writing.

2. Subject matter

Orbit is a desktop application for visualizing and analyzing Notion workspaces. The subject of the contract is the grant of a time-limited, non-exclusive and non-transferable right to use the software to the extent of the booked plan, as well as making the software available for download and unlocking the license.

Orbit is not a Notion product and is not affiliated with Notion Labs, Inc. Use of the Notion API and of a Notion account is subject to Notion’s terms as a third-party provider.

If a free trial period is offered, the subscription automatically continues as a paid subscription after the trial ends unless you cancel beforehand. Details (duration, prices) are as shown in the desktop app at the time the contract is concluded.

3. Conclusion of contract

The presentation of plans in the desktop app is not a binding offer, but an invitation to submit an offer.

By submitting your order you make a binding offer to conclude a license contract. The contract is formed when we accept your order by unlocking the license and/or sending an order confirmation by email.

Before concluding the contract you must take note of these Terms, the privacy policy and the cancellation policy. In the desktop app, checkboxes are shown for this purpose before purchase. If you wish to use the software immediately after purchase, you must consent to immediate performance and confirm that you thereby lose your right of withdrawal. Without these confirmations the license will not be unlocked. Details and conditions are set out in the cancellation policy.

After conclusion of the contract you will receive a confirmation by email (durable medium) recording the content of the contract and the consents given.

4. Scope of services and availability

The scope of services follows from the description of the chosen plan in the desktop app at the time the contract is concluded. Features may change as the software is developed. Essential characteristics of the service will be retained or replaced by equivalent features.

We do not owe uninterrupted availability of download servers or of external services (in particular the Notion API). Maintenance windows and technical faults outside our control do not, to the extent permitted by law, give rise to a reduction of the fee.

5. System requirements

You are responsible for ensuring that your device meets the minimum requirements stated on the download page, that you install the software properly, and that a working internet connection is available for updates, license checks and Notion sync.

6. Licence

For the term of the contract we grant you a simple, non-exclusive, non-transferable and non-sublicensable right to use the software on your devices within the scope of the plan and for your own purposes. Transferring the license to third parties is not permitted unless the plan provides otherwise.

In particular, the following are prohibited:

  • Transferring, renting or lending the software or the license key to third parties
  • Reverse engineering, decompiling or disassembling, except where mandatory law permits it
  • Removing or altering copyright or license notices
  • Use in a way that infringes third-party rights or impairs the security of the software

In the event of serious breaches we are entitled to block the license and terminate the contract for cause.

7. Prices and payment

The prices shown in the desktop app at the time of the order apply, in US dollars (USD), including any statutory taxes where due. If a launch price is shown, it applies for 12 months on a monthly subscription, or for the first year on a yearly subscription; after that the list price shown in the app applies. You may cancel at the end of the current billing period before the change.

Payment is processed by an external payment provider (currently Stripe). In the desktop app you start the purchase via a button and are redirected to the provider’s payment page. By completing the order you authorize the payment provider to collect the amount due. The payment provider’s terms apply in addition to these Terms.

For subscriptions, the fee is due at the beginning of each billing period. If a payment fails, we may suspend the license until the amount is settled. Invoices are provided electronically.

8. Term and renewal

Unless otherwise stated for the plan, Orbit is taken out as a monthly subscription. The minimum term corresponds to the chosen billing period (e.g. one month). In the case of a trial, that duration counts as the first period; thereafter the rules on automatic renewal apply.

The subscription renews automatically for the respective billing period unless it is cancelled in time. We will inform you in good time before any planned plan changes take effect on renewal. In that case you have a special right of termination.

9. Cancellation

You may cancel the subscription at any time effective at the end of the current billing period. Cancellation is made via a button in the desktop app that takes you to the payment provider’s page, or by email to [email protected].

If you cancel via the payment provider, automatic renewal ends according to that provider’s rules. If you cancel by email, receipt by us before the start of the next billing period is decisive. We will then implement the cancellation with the payment provider. Periods already paid are not refunded pro rata unless required by law.

After cancellation takes effect, the right of use ends at the end of the paid period. Until then you may reverse the cancellation via the desktop app (payment provider’s page). The subscription then continues. After the paid period ends without a continuing subscription, unlocking again requires a new contract.

The statutory right of withdrawal for consumers remains unaffected; see the cancellation policy.

10. Updates

We may provide updates, bug fixes and security adjustments. You are responsible for installing updates that are necessary to keep the software in conformity with the contract, provided we have notified you of this.

11. Warranty

Statutory warranty rights apply. For digital products, consumers have the rights under Sections 327 et seq. BGB where applicable.

Please report any defects to us as promptly as possible and describe the problem in a comprehensible way. We will remedy defects within a reasonable period or provide a defect-free performance. Statutory warranty rights remain unaffected.

12. Liability

We are liable without limitation for intent and gross negligence, and for damage arising from injury to life, body or health.

In the event of slightly negligent breach of essential contractual duties (cardinal duties), liability is limited to the typical, foreseeable damage. Any further liability for slight negligence is excluded.

We are not liable for data loss caused by a lack of backup on your side, nor for the content or availability of Notion or other third-party providers.

The above limitations of liability do not apply where mandatory statutory liability (e.g. under the German Product Liability Act) applies.

13. Privacy

Information on the processing of personal data is set out in our privacy policy.

14. Changes to these Terms

We may change these Terms with effect for the future if there is an objective reason (e.g. a change in the law, new features, an adjustment of payment processing) and you are not unreasonably disadvantaged. We will inform you of material changes in good time before the next billing period begins. You may object to the contract before the change takes effect and then have a special right of termination as of the change date. If you continue to use the software after the change date without objecting, the amended Terms apply to the extent permitted by law.

15. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers with habitual residence in the EU, mandatory consumer protection provisions of the country of residence remain unaffected.

If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes is Hannover.

If any provision of these Terms is invalid, the validity of the remaining provisions remains unaffected.
